Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Freight OS platform ("Service") operated by Freight OS Ltd ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Freight OS is a cloud-based freight management platform that enables freight forwarders and logistics operators to manage jobs, generate shipping documents, track milestones, and administer their operations. The Service is provided on a subscription basis with pricing as published on our website.
3. Account Registration
You must register for an account to access most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@falconforge.tech if you suspect any unauthorised use of your account.
4. Subscription and Billing
The Service is available on paid subscription plans as described on our pricing page. Fees are charged monthly in advance. Usage fees (per-job charges) are billed in arrears based on actual usage in the prior billing period.
All prices are quoted in GBP and exclude VAT where applicable. We reserve the right to change pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Upload or transmit any material that is unlawful, harmful, or infringes third-party rights
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit unsolicited commercial communications
- Resell, sublicense, or otherwise commercially exploit the Service without our written consent
6. Your Data
You retain all rights to data you input into the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties. Please refer to our Privacy Policy for details on how we collect, use, and protect your data.
7. Intellectual Property
The Service, including all software, design, text, and graphics, is owned by Freight OS Ltd and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights in our intellectual property other than the limited right to use the Service as described herein.
8. Service Availability and SLA
We aim to provide a reliable service but cannot guarantee uninterrupted availability. We reserve the right to carry out scheduled maintenance that may result in temporary downtime. Growth plan subscribers benefit from an SLA as described in their plan documentation. We will endeavour to provide advance notice of planned maintenance where practicable.
9. Limitation of Liability
To the maximum extent permitted by law, Freight OS Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total aggregate liability to you in connection with these Terms shall not exceed the fees paid by you to us in the twelve months immediately preceding the event giving rise to the claim.
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law. Upon termination, you may export your Customer Data for 30 days following the termination date, after which it will be deleted from our systems.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notification at least 14 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
